1. DEFINITIONS AND INTERPRETATION
In this Agreement, unless the context otherwise requires:
"Agreement" means this Resilience IQ™ Master Subscription Agreement together with all schedules, policies, notices, amendments and supplementary terms published by the Company from time to time.
"Company" means Moore Bros. Procurement Limited, trading as Procurement Gurus and Resilience IQ™.
"Content" means all reports, analyses, recommendations, alerts, dashboards, forecasts, risk scores, graphics, text, communications, software outputs and information provided through the Service.
"Service" means Resilience IQ™ and all related software, reports, alerts, intelligence services, communications, websites, dashboards and associated services.
"Subscriber" means any business, company, partnership, organisation, sole trader or authorised representative accessing or using the Service.
"Subscription" means a paid recurring licence to access the Service.
"Subscription Fees" means all charges payable by the Subscriber.
"Subscription Term" means the duration of an active subscription.
IMPORTANT NOTICE
By subscribing to, accessing, using, or otherwise benefiting from Resilience IQ™, the Subscriber confirms that they have read, understood, and agree to be legally bound by this Master Subscription Agreement, including all Schedules, Policies, Disclaimers, Notices, and Appendices contained herein.
If the Subscriber does not agree to these terms, the Subscriber must not subscribe to or use the Service.

3. ACCEPTANCE OF AGREEMENT
By subscribing to, purchasing, accessing, registering for, receiving, viewing, downloading, using, or otherwise benefiting from the Service, the Subscriber agrees to be legally bound by this Agreement.
Electronic acceptance shall constitute a legally binding agreement.
Completion of payment through Stripe or any authorised payment provider shall constitute acceptance of this Agreement.
Continued use of the Service following publication of amendments shall constitute acceptance of the amended terms.
4. ELIGIBILITY AND BUSINESS USE ONLY
The Service is intended exclusively for business and commercial use.
The Subscriber represents and warrants that:

they are acting in a business capacity;

they possess authority to enter this Agreement;

information supplied is accurate and complete.
The Service is not intended for personal, domestic, household or consumer use.
5. DESCRIPTION OF THE SERVICE
Resilience IQ™ is a business intelligence platform providing risk monitoring, alerts, reports, analyses, forecasts, summaries, recommendations and related information.
The Company does not guarantee that all risks, disruptions, opportunities, events, market changes or supply chain developments will be identified or reported.
The Service is informational in nature only.
6. SUBSCRIPTION SERVICES
Subject to payment of Subscription Fees and compliance with this Agreement, the Company grants the Subscriber a limited, revocable, non-exclusive, non-transferable licence to access and use the Service.
The licence granted under this Agreement may be revoked at any time in accordance with these terms.
No ownership rights are transferred.
7. USER ACCOUNTS AND SECURITY
The Subscriber is solely responsible for maintaining the confidentiality of account credentials.
The Subscriber shall immediately notify the Company of any suspected unauthorised access.
The Subscriber accepts responsibility for all activities undertaken through its account.
The Company shall have no liability arising from unauthorised access, credential theft, phishing attacks, cyber incidents, password compromise or failures in account security.
8. SUBSCRIPTION FEES AND BILLING
Subscription Fees shall be payable in advance.
All fees are exclusive of taxes unless expressly stated otherwise.
The Subscriber authorises the Company and its payment providers to charge all applicable fees automatically.
Failure to make payment may result in suspension or termination.
The Company reserves the right to amend Subscription Fees upon thirty (30) days' notice.
9. AUTOMATIC RENEWAL
All subscriptions automatically renew.
The Subscriber authorises recurring charges to the payment method provided.
Renewal charges shall continue until cancellation becomes effective under this Agreement.
10. CANCELLATION AND NOTICE REQUIREMENTS
A minimum of fifteen (15) calendar days written notice must be provided before the next renewal date.
Cancellation notices received less than fifteen (15) days before renewal shall become effective following the next billing cycle.
Subscription Fees remain payable throughout any notice period.
Failure to use the Service shall not constitute cancellation.
Cancellation requests must be submitted in writing to info@procurementgurus.ie and must be received at least fifteen (15) calendar days prior to the Subscriber's next billing date. Cancellation requests received after this deadline shall take effect following the next billing cycle and the applicable subscription fee shall remain payable.
11. NO REFUND POLICY
All Subscription Fees are non-refundable.
No refunds, credits or partial refunds shall be provided for:

unused subscriptions;
-
dissatisfaction;
-
failure to use the Service;
-
downtime;
-
suspension;
-
account termination;
-
changes to Service features.
Exceptions apply only where required by law.
12. FREE TRIALS, PROMOTIONAL OFFERS AND DISCOUNTS
The Company may offer free trials, discounts or promotional pricing.
Such offers may be withdrawn, modified or terminated at any time.
Unless otherwise stated, normal Subscription Fees shall apply upon expiry of any promotional period.
13. SERVICE MODIFICATIONS AND PRODUCT CHANGES
The Company reserves the unrestricted right to:

modify the Service;
-
add or remove features;
-
change methodologies;
-
change data sources;
-
change AI providers;
-
alter report formats;
-
discontinue functionality.
The Subscriber acknowledges that the Service may evolve at any time.
No compensation shall be payable for such changes.
14. USER OBLIGATIONS
The Subscriber shall:

comply with applicable laws;
-
provide accurate information;
-
maintain account security;
-
use the Service responsibly;
-
comply with this Agreement.
15. ACCEPTABLE USE RESTRICTIONS
The Subscriber shall not:
-
reverse engineer the Service;
-
scrape data;
-
copy reports;
-
redistribute content;
-
resell access;
-
share credentials;
-
use outputs to build competing products;
-
train artificial intelligence models using Service content.
The Company may immediately suspend access for any breach.
16. INTELLECTUAL PROPERTY RIGHTS
All intellectual property rights remain the exclusive property of Moore Bros. Procurement Limited.
This includes:

software;
-
reports;
-
methodologies;
-
algorithms;
-
trademarks;
-
branding;
-
risk scores;
-
dashboards;
-
AI prompts;
-
content.
No rights are granted except as expressly stated.
17. SUBSCRIBER DATA
The Subscriber retains ownership of information submitted to the Service.
The Subscriber grants the Company the right to process, store and use such data for the purposes of operating, improving and supporting the Service.
18. ARTIFICIAL INTELLIGENCE AND AUTOMATED PROCESSING
The Service may utilise artificial intelligence and automated analytical systems.
AI-generated outputs may contain inaccuracies, omissions, errors, outdated information or misleading conclusions.
The Subscriber accepts all risks associated with the use of AI-generated outputs.
19. THIRD-PARTY DATA SOURCES AND EXTERNAL CONTENT
The Service may rely on information obtained from third parties.
The Company does not verify all third-party information.
No guarantee is given regarding accuracy, completeness, reliability or timeliness.
20. NO PROFESSIONAL ADVICE
The Service does not provide:

legal advice;
-
financial advice;
-
tax advice;
-
investment advice;
-
procurement advice;
-
strategic advice;
-
supply chain advice.
Professional advisers should be consulted where appropriate.
21. NO RELIANCE
The Subscriber acknowledges that all Content is provided solely for informational purposes.
The Subscriber shall not rely solely upon reports, alerts, forecasts, recommendations, risk scores or analyses when making decisions.
All decisions remain the sole responsibility of the Subscriber.
22. RISK SCORES, FORECASTS AND RECOMMENDATIONS
Risk scores, forecasts, predictions and recommendations are estimates only.
Future events are inherently uncertain.
The Company does not guarantee that any forecast, prediction or recommendation will prove accurate or successful.
23. SERVICE AVAILABILITY
The Service is provided on an "AS IS" and "AS AVAILABLE" basis.
The Company makes no warranty regarding uninterrupted availability, accuracy, performance, reliability or fitness for purpose.
24. SERVICE INTERRUPTIONS AND SCHEDULED MAINTENANCE
The Company may suspend access to the Service for maintenance, upgrades, security investigations, technical issues or operational reasons.
The Company shall not be liable for interruptions, downtime, delays, failures or reduced functionality arising from such activities.
25. DISCLAIMERS AND EXCLUSION OF WARRANTIES
25.1 To the fullest extent permitted by applicable law, the Service is provided on an "AS IS", "AS AVAILABLE", and "WITH ALL FAULTS" basis.
25.2 Moore Bros. Procurement Limited expressly disclaims all representations, warranties, conditions, guarantees, undertakings, and assurances of any kind, whether express, implied, statutory, or otherwise.
25.3 Without limitation, the Company disclaims all warranties relating to:
(a) accuracy;
(b) completeness;
(c) reliability;
(d) timeliness;
(e) suitability;
(f) fitness for purpose;
(g) merchantability;
(h) uninterrupted availability;
(i) security;
(j) non-infringement.
25.4 The Company does not warrant that:
(a) reports will be accurate;
(b) alerts will be generated;
(c) forecasts will be correct;
(d) risks will be identified;
(e) disruptions will be predicted;
(f) recommendations will be successful;
(g) the Service will operate without interruption.
25.5 The Subscriber acknowledges that business, economic, geopolitical, supply chain, financial, regulatory, and market events are inherently unpredictable and that no service can guarantee accurate prediction of future events.
26. LIMITATION OF LIABILITY
26.1 To the fullest extent permitted by law, Moore Bros. Procurement Limited, Procurement Gurus, Resilience IQ™, and their respective directors, officers, employees, contractors, affiliates, agents, successors, and assigns shall not be liable for any losses arising from or connected with the Service.
26.2 The Company shall not be liable for:
(a) loss of profits;
(b) loss of revenue;
(c) loss of business;
(d) loss of contracts;
(e) loss of opportunity;
(f) loss of anticipated savings;
(g) loss of goodwill;
(h) business interruption;
(i) procurement losses;
(j) supply chain disruption;
(k) reputational damage;
(l) indirect losses;
(m) consequential losses;
(n) special damages;
(o) punitive damages.
26.3 The Subscriber acknowledges that Subscription Fees reflect the allocation of risk set out in this Agreement.
26.4 If liability cannot lawfully be excluded, the Company's aggregate liability shall not exceed the total Subscription Fees paid by the Subscriber during the twelve (12) months immediately preceding the claim.
27. EXCLUSION OF INDIRECT AND CONSEQUENTIAL LOSSES
27.1 Under no circumstances shall the Company be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages.
27.2 This exclusion shall apply regardless of the legal basis of the claim including contract, tort, negligence, statutory duty, misrepresentation, restitution, or otherwise.
27.3 The Subscriber expressly agrees that the Company shall not be responsible for commercial decisions made using the Service.
28. SUBSCRIBER INDEMNIFICATION
28.1 The Subscriber shall indemnify, defend, and hold harmless Moore Bros. Procurement Limited, Procurement Gurus, Resilience IQ™, and all directors, officers, employees, contractors, affiliates, agents, successors, and assigns from and against all claims, actions, proceedings, liabilities, damages, losses, penalties, fines, costs, and expenses.
28.2 This indemnity shall apply to claims arising from:
(a) use of the Service;
(b) reliance upon Service outputs;
(c) breach of this Agreement;
(d) violation of applicable law;
(e) infringement of third-party rights;
(f) misuse of the Service;
(g) information supplied by the Subscriber.
28.3 The Subscriber shall reimburse all reasonable legal fees and professional costs incurred by the Company in connection with such claims.
29. CONFIDENTIALITY
29.1 The Subscriber shall maintain the confidentiality of all non-public information obtained through the Service.
29.2 The Subscriber shall not disclose proprietary methodologies, scoring models, reports, algorithms, or business information without prior written consent.
29.3 These obligations shall survive termination of the Agreement.
30. DATA PROTECTION AND PRIVACY
30.1 The Company shall process personal data in accordance with its Privacy Policy and applicable data protection legislation.
30.2 The Subscriber acknowledges that operation of the Service may require the processing of personal and business information.
30.3 The Subscriber remains responsible for ensuring that information supplied to the Company may lawfully be disclosed and processed.
31. SECURITY
31.1 The Company shall take reasonable steps to protect the security of the Service.
31.2 No system can be guaranteed to be completely secure.
31.3 The Company shall not be liable for cyber attacks, data breaches, malware, ransomware, hacking incidents, denial-of-service attacks, or other security incidents beyond its reasonable control.
32. SUSPENSION OF ACCESS
32.1 The Company may suspend access immediately and without notice where it reasonably believes such action is necessary.
32.2 Grounds for suspension include:
(a) suspected breach of this Agreement;
(b) security concerns;
(c) payment failure;
(d) unlawful activity;
(e) protection of intellectual property;
(f) system maintenance;
(g) protection of commercial interests.
32.3 No refund or compensation shall arise from any suspension.
33. TERMINATION RIGHTS
33.1 The Company may terminate this Agreement at any time and without liability.
33.2 Termination may occur with or without cause.
33.3 Upon termination:
(a) access rights shall immediately cease;
(b) licences granted under this Agreement shall terminate;
(c) outstanding fees shall remain payable.
34. EFFECT OF TERMINATION
34.1 Termination shall not affect accrued rights or liabilities.
34.2 The Company may delete or remove Subscriber data following termination subject to applicable legal obligations.
34.3 The Subscriber shall have no claim arising from the loss of access following termination.
35. FORCE MAJEURE
35.1 The Company shall not be liable for delay, interruption, degradation, suspension, or failure arising from circumstances beyond its reasonable control.
35.2 Such circumstances include:
(a) war;
(b) terrorism;
(c) civil unrest;
(d) sanctions;
(e) industrial disputes;
(f) government action;
(g) pandemics;
(h) natural disasters;
(i) cloud outages;
(j) internet failures;
(k) AI provider outages;
(l) data feed failures;
(m) cybersecurity incidents.
36. ASSIGNMENT AND TRANSFER
36.1 The Company may assign, transfer, novate, subcontract, delegate, sell, or otherwise dispose of any rights or obligations arising under this Agreement without obtaining the Subscriber's consent.
36.2 The Subscriber may not assign, transfer, or otherwise dispose of rights under this Agreement without prior written consent from the Company.
37. RELATIONSHIP OF THE PARTIES
37.1 Nothing in this Agreement shall create any partnership, joint venture, agency, employment, fiduciary relationship, or similar arrangement.
37.2 The parties remain independent contractors.
38. PUBLICITY RIGHTS
38.1 The Company may identify the Subscriber as a customer of Resilience IQ™ for marketing, promotional, investor relations, case study, website, proposal, and sales purposes.
38.2 The Subscriber may request removal of such references by written notice.
39. AMENDMENTS TO THE AGREEMENT
39.1 The Company reserves the right to amend this Agreement at any time.
39.2 Updated versions shall become effective upon publication unless otherwise stated.
39.3 Continued use of the Service constitutes acceptance of amended terms.
40. NOTICES
40.1 Notices may be delivered by:
(a) email;
(b) website publication;
(c) dashboard notification;
(d) written correspondence.
40.2 Notices shall be deemed received when sent.
41. SEVERABILITY
41.1 If any provision of this Agreement is found invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.
42. WAIVER
42.1 Failure by the Company to enforce any provision shall not constitute a waiver.
42.2 Any waiver must be in writing.
43. ENTIRE AGREEMENT
43.1 This Agreement constitutes the entire agreement between the parties.
43.2 No marketing material, proposal, presentation, forecast, statement, representation, illustration, or communication shall form part of this Agreement unless expressly incorporated in writing.
44. SURVIVAL
44.1 The following provisions shall survive termination:

Intellectual Property Rights;

Limitation of Liability;
-
Indemnification;
-
Confidentiality;
-
Governing Law;
-
Dispute Resolution;
-
Any provision intended to survive termination.
45. DISPUTE RESOLUTION
45.1 Before commencing legal proceedings, the parties shall attempt in good faith to resolve disputes through negotiation.
45.2 Nothing shall prevent the Company from seeking injunctive relief or urgent remedies to protect intellectual property, confidential information, systems, or commercial interests.
45.3 To the extent permitted by law, claims shall be brought only on an individual basis and not as part of any representative, collective, or class action.
46. GOVERNING LAW AND JURISDICTION
46.1 This Agreement shall be governed by and construed in accordance with the laws of Ireland.
46.2 The courts of Ireland shall have exclusive jurisdiction in respect of any dispute arising from or connected with this Agreement or the Service.

BY ACCESSING, SUBSCRIBING TO, OR USING THE SERVICE, THE SUBSCRIBER CONFIRMS THAT THEY HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THIS RESILIENCE IQ™ MASTER SUBSCRIPTION AGREEMENT.
SCHEDULE A – SUBSCRIPTION PLANS AND PRICING
RESILIENCE IQ™ SUBSCRIPTION PLANS
This Schedule forms part of the Resilience IQ™ Master Subscription Agreement and should be read in conjunction with all other provisions of the Agreement.
Moore Bros. Procurement Limited reserves the right to amend pricing, features, benefits, and subscription plans in accordance with Section 39 (Amendments to the Agreement) and Section 8 (Subscription Fees and Billing).
1. CURRENT SUBSCRIPTION PLAN
Resilience IQ™ Standard Subscription
The Standard Subscription provides access to Resilience IQ™ business risk intelligence services including, where available:

Weekly Risk Intelligence Reports;

Business Risk Monitoring;
-
Inflation Risk Monitoring;
-
Supply Chain Risk Monitoring;
-
Geopolitical Risk Monitoring;
-
Tariff and Trade Risk Monitoring;
-
Industry Risk Intelligence;
-
AI-Generated Risk Summaries;
-
Business Resilience Insights;
-
Platform Updates and Enhancements.
The Company reserves the right to modify, add, remove, suspend, replace, or discontinue any feature or functionality at its sole discretion.
2. SUBSCRIPTION FEES
The current subscription fee is:

United States Dollar (USD)
$6.00 per month
Subscription fees are payable monthly in advance.
Applicable taxes, duties, levies, VAT, sales taxes, or similar charges may be applied in addition to the subscription fee where required by law.
3. BILLING CYCLE
Subscriptions are billed on a recurring monthly basis.
The initial billing date shall be the date on which the Subscriber successfully completes payment.
Subsequent payments shall be charged automatically on or around the same date each month.
The Subscriber authorises Moore Bros. Procurement Limited and its authorised payment providers to process recurring payments using the payment method provided.
4. AUTOMATIC RENEWAL
All subscriptions renew automatically unless cancelled in accordance with the Resilience IQ™ Master Subscription Agreement.
By subscribing, the Subscriber expressly authorises recurring billing and automatic renewal charges.
5. CANCELLATION REQUIREMENTS
Subscribers wishing to terminate their subscription must provide not less than fifteen (15) calendar days' written notice prior to their next billing date.
Cancellation requests received less than fifteen (15) calendar days before a renewal date shall become effective following the next billing cycle.
Subscription fees remain payable throughout any applicable notice period.
6. REFUNDS
All payments are non-refundable except where required by applicable law.
No refunds, credits, partial refunds, or prorated refunds shall be issued for:

Partial subscription periods;
-
Failure to use the Service;
-
Subscriber inactivity;
-
Suspension of access;
-
Account termination;
-
Service modifications;
-
Downtime or interruptions.
7. PROMOTIONAL OFFERS
The Company may from time to time offer:
-
Free trials;
-
Introductory discounts;
-
Promotional pricing;
-
Limited-time offers;
-
Referral incentives.
Such promotions may be withdrawn, amended, suspended, or terminated at any time without notice.
Unless expressly stated otherwise, standard subscription pricing shall apply upon expiry of any promotional period.
8. FUTURE SUBSCRIPTION TIERS
The Company may introduce additional subscription plans, premium services, enterprise plans, add-on modules, consulting services, integrations, or enhanced functionality at its sole discretion.
The availability of future subscription tiers shall not create any obligation on the Company to continue offering any particular plan, feature, or pricing structure.
9. PRICE CHANGES
Moore Bros. Procurement Limited reserves the right to amend subscription fees at any time.
Subscribers shall receive not less than thirty (30) days' notice of any pricing changes.
Continued use of the Service following the effective date of a pricing change shall constitute acceptance of the revised subscription fee.
10. CURRENCY
Subscription fees may be displayed and charged in Euro (EUR), Pound Sterling (GBP), United States Dollar (USD), or any other currency determined by the Company or its payment providers.
Currency conversion rates applied by banks, card providers, or payment processors are outside the control of the Company.
The Company accepts no responsibility for foreign exchange fluctuations, conversion fees, banking charges, or similar costs incurred by the Subscriber.

This Acceptable Use Policy ("AUP") forms part of the Resilience IQ™ Master Subscription Agreement and applies to all users, subscribers, customers, organisations, representatives, contractors, employees, and other persons accessing or using Resilience IQ™.
The purpose of this Policy is to protect the security, integrity, intellectual property, reputation, and lawful operation of the Service.
By accessing or using the Service, the Subscriber agrees to comply with this Acceptable Use Policy.
2. AUTHORISED USE
Subscribers may use the Service solely:
